Terms of Use

for webHERALD Front-End Framework, ObjectScript^REFACTOR, and InterSystems IRIS Database

These terms of use (“Terms”) govern your use of the webHERALD front-end framework (“webHERALD”), the ObjectScript^REFACTOR tool (“REFACTOR”), and the InterSystems IRIS database (“IRIS”) (collectively, the “Services”).

Please read these Terms carefully before using the Services. By accessing or using the Services, you agree to be bound by these Terms.

1. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for the purpose of developing, testing, evaluating, and demonstrating applications and code.

You may not distribute, sublicense, or make available the Services to any third party without our prior written consent.

2. Intellectual Property

All intellectual property rights, including but not limited to copyrights, trademarks, and patents, in webHERALD, REFACTOR, and IRIS integrations belong to us or our licensors.

These Terms do not grant you any rights to our intellectual property, except for the limited license specified in Section 1.

You may not modify, reproduce, reverse engineer, decompile, or disassemble the Services, except to the extent expressly permitted by applicable law.

3. Use of the Services

You are solely responsible for your use of the Services and for complying with all applicable laws and regulations.

You may not use the Services to:

  • Engage in any illegal, harmful, or unauthorized activities
  • Transmit or store any infringing, defamatory, or otherwise objectionable content
  • Interfere with the proper functioning of the Services
  • Attempt to gain unauthorized access to any systems or networks associated with the Services
  • Use automated systems, including bots or scripts, to access or overload the Services in a manner that could impair functionality

We reserve the right to restrict or block access in case of misuse or excessive usage.

4. Use of ObjectScript^REFACTOR

The REFACTOR tool allows you to submit source code (“Input Code”) for automated analysis and transformation into refactored code (“Output Code”).

By using REFACTOR, you agree that:

  • You are solely responsible for any Input Code you submit
  • You have all necessary rights, licenses, and permissions to submit and process such code
  • You will not submit any confidential, proprietary, personal, or sensitive information unless you are explicitly authorized to do so

You acknowledge that:

  • The REFACTOR tool is provided for testing, evaluation, and demonstration purposes only
  • Output Code is generated automatically and may be incomplete, inaccurate, or insecure

We do not guarantee that:

  • The Output Code is correct, complete, or production-ready
  • The Output Code is free of errors, defects, or vulnerabilities
  • The transformation preserves the original functionality, intent, or performance

You are solely responsible for reviewing, testing, and validating any Output Code before use in any environment.

5. Use of webHERALD with IRIS

You are solely responsible for your use of webHERALD with IRIS and for complying with all applicable laws and regulations.

You may not use webHERALD with IRIS to:

  • Engage in any illegal, harmful, or unauthorized activities
  • Transmit or store any infringing, defamatory, or otherwise objectionable content
  • Interfere with the proper functioning of webHERALD with IRIS
  • Attempt to gain unauthorized access to any systems or networks associated with webHERALD with IRIS

6. Data Processing and Confidentiality

Your use of the Services, including REFACTOR, may involve the transmission and processing of code and data.

You acknowledge and agree that:

  • Input Code may be processed by automated systems to generate Output Code
  • Submitted code may be temporarily stored and processed for the purpose of providing, maintaining, and improving the Services

We do not guarantee confidentiality of any Input Code submitted through the public interface. You should not submit any sensitive, confidential, or proprietary information unless you are fully authorized and accept the associated risks.

You are solely responsible for ensuring that your use of the Services complies with all applicable data protection, confidentiality, and contractual obligations.

Any personal data will be handled in accordance with our Privacy Policy.

7. No Warranty

THE SERVICES, INCLUDING webHERALD, REFACTOR, AND IRIS INTEGRATIONS, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability of generated output

We do not warrant that:

  • The Services will be uninterrupted or error-free
  • Defects will be corrected
  • Generated code will meet your requirements or expectations

8. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of the Services.

This includes, but is not limited to:

  • Loss of data or code
  • Errors or defects in generated Output Code
  • Security vulnerabilities
  • Loss of business, revenue, or profits
  • System failures or downtime

This limitation applies even if we have been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, and our licensors from and against any claims, damages, liabilities, losses, and expenses, including reasonable legal fees, arising out of or related to:

  • Your use of the Services
  • Your Input Code
  • Your violation of these Terms
  • Any infringement or misappropriation of third-party rights

10. Support and Updates

We may provide support and updates for the Services at our discretion. Any support or updates provided will be subject to these Terms.

11. Termination

We may terminate or suspend your license to use the Services at any time without prior notice or liability if you violate these Terms or engage in any unauthorized use.

Upon termination, you must cease all use of the Services and destroy any copies in your possession.

12. Modifications

We reserve the right to modify or update these Terms at any time without prior notice. Your continued use of the Services after any modifications constitutes your acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Austria and the European Union.

14. Entire Agreement

These Terms constitute the entire agreement between you and us regarding your use of the Services and supersede any prior agreements or understandings, whether oral or written.

If you do not agree to these Terms, you may not use the Services.
